## Overview

The Trust intends to acquire and own a fee simple interest in the Property, consisting of approximately 268 acres of undeveloped forest land located north of Berryhill Road and south of Willard Norris Road in Pace, Santa Rosa County, Florida, as more fully described on Exhibit D to this Memorandum.

As described in the Due Diligence Report prepared by Thomas and Hutton, dated April 8, 2025 (the “Due Diligence Report”), the Property consists of 268 acres of undeveloped land located in Santa Rosa County, Florida. The Property is predominantly undeveloped forest land, consisting of a mix of pines, hardwoods, and shrubs.

Access to the Property is available from Luther Fowler Road and future developments of the remaining Jubilee Planned Developement parcels.
