## About Madison Realty Companies

Madison Realty Companies LLC is a senior housing real estate firm. A press release it issued through PR Newswire in February 2014, from Pasadena, California, described it as a national developer and owner of assisted living properties. The release said the firm had been in business for more than 20 years. It named Gary Langendoen as senior managing director. It also said Madison had bought six assisted living facilities in the Rocky Mountain states in January 2014.

Later SEC filings list Colorado addresses. A 2015 DST filing lists 225 Waneka Parkway in Lafayette, Colorado. Filings from 2016 through 2018 list 925 S. Niagara Street in Denver. Those filings name Gary Langendoen and K. Matthew Arnold as co-managers of the sponsor.

This page could not find a current website for the firm or any DST filings after 2018. Its current headquarters and founding year are not confirmed, so they are left blank.

Several firms use similar names. This page covers Madison Realty Companies LLC, the senior-care DST sponsor. It is not the same as Madison Realty Capital, a New York debt fund manager, or Madison Capital Group, a Charlotte, North Carolina sponsor with its own [Madison Capital Group profile](/sponsors/madison-capital).

## Madison Realty Companies' DST programs

A DST is a trust that holds title to real estate. Investors buy beneficial interests in the trust, and those interests can qualify as replacement property in a 1031 exchange. The sponsor finds the property, sets up the trust and manages it until it sells. The guide to [DST property types](/learn/dst-property-types) covers senior housing and other sectors.

A full-text search of SEC EDGAR shows four DSTs tied to Madison Realty Companies:

- Madison Realty Senior Care I-UT, DST, Form D filed November 20, 2015
- Madison Realty Senior Care II-AZ, DST, Form D filed April 11, 2016
- Madison Realty Senior Care Alta Ridge DST, Form D filed February 1, 2017
- MRSC CO Aspen House DST, Form D filed September 28, 2017, with another filing in August 2018

The first filing, for Madison Realty Senior Care I-UT, DST, names Madison Realty Companies LLC as "Sponsor of the Filer." It lists a total offering of $6.8 million and a $25,000 minimum investment.

The MRSC CO Aspen House DST filing shows a common DST setup. Madison Realty Companies LLC is the manager of the trust's signatory trustee, MRSC CO Signatory Trustee IV LLC. That filing lists a $10 million offering and a $50,000 minimum.

The firm also filed for an LLC fund, Madison Realty Senior Care Fund, LLC, in 2015 and 2016. It listed a $50 million offering. An LLC fund interest is a different security from a DST interest and generally does not qualify as 1031 replacement property.

The DST filings list Orchard Securities, LLC (CRD 133378) as a firm receiving sales compensation. They do not describe it as a Madison affiliate.

Senior housing properties depend on an operator to run daily care and services. Like most DSTs, these offerings were generally limited to accredited investors. Distributions are not guaranteed, the interests are illiquid, and investors can lose money.
