Important disclosures

Securities are offered through Aurora Securities, Inc., member FINRA/SIPC. Baker 1031 Investments, LLC is independent of Aurora Securities, Inc. and is not a registered broker-dealer or investment adviser. Review Aurora Securities on FINRA BrokerCheck and its Client Relationship Summary (Form CRS) for information about brokerage services, fees, conflicts of interest, and disciplinary history.

This website provides general educational information, not individual investment, tax, or legal advice, and is not an offer to buy or sell securities. Offers are made only through the applicable offering documents to eligible investors. Private offerings are generally intended for accredited investors; availability and eligibility vary. Read the offering documents, including risks, fees, expenses, and conflicts, before investing.

Real estate securities and alternative investments involve substantial risk, including loss of the entire investment. DST interests are generally illiquid, with limited investor control and no assured secondary market. Income, distributions, and tax benefits are not guaranteed. Past performance does not guarantee future results, and diversification does not prevent loss. Illustrations and property images do not represent current offerings or guaranteed outcomes. Consult your CPA, attorney, and qualified intermediary about your circumstances.

Full disclosure

This website provides general educational information, not an individualized investment recommendation or tax, legal, or accounting advice. It is not an offer to sell or a solicitation to buy any security. An offer may be made only through the applicable private placement memorandum (PPM), prospectus, and related offering documents to eligible investors. Read those documents carefully, including the investment objectives, risks, fees, expenses, and conflicts, before investing. Website summaries do not replace the offering documents. Neither SEC registration nor a filing under an exemption means an investment has been approved or its merits endorsed by a regulator.

The private offerings available through Baker 1031 are generally intended for accredited investors. Common individual tests include net worth exceeding $1 million, alone or with a spouse or spousal equivalent, excluding the primary residence, or income exceeding $200,000 individually or $300,000 jointly in each of the two prior years, with a reasonable expectation of the same income level in the current year. Other individual and entity qualifications exist. Each offering has its own eligibility and verification requirements. Accredited status alone does not make an investment appropriate for you. Review the SEC’s accredited investor criteria with your professional advisers.

This website is intended for residents of the United States. Registered representatives may conduct business only where properly registered or exempt from registration. Services and offerings may not be available in every jurisdiction. Offerings are subject to availability, minimum investments, investor eligibility, applicable investment requirements, and acceptance by the issuer. Access to offering materials depends on the applicable securities exemption and its requirements. Registering or requesting information does not establish eligibility or guarantee access to, or an allocation in, an offering.

Alternative investments and real estate securities involve substantial risk, including loss of some or all of the principal invested. Risks include vacancies, tenant defaults, competition, new supply, declining rents or property values, limited operating history, economic and market changes, rising operating costs, property damage, development delays, and adverse tax consequences. Borrowing increases risk: interest-rate changes, refinancing difficulties, or defaults can result in foreclosure and loss of equity. Sponsor and manager decisions, financial condition, and conflicts can affect results. These examples do not describe every risk; review the specific offering’s risk factors.

DST interests and other private securities are generally long-term, illiquid investments with transfer restrictions and no assured secondary market. You may be unable to sell when you need cash or may have to hold indefinitely. Any redemption program may be limited, suspended, or unavailable. DST investors generally do not control property operations, financing, or the timing of a sale. Invest only money you can afford to keep committed for an extended period and potentially lose.

Past performance, including full-cycle investment results, does not guarantee future results. Income, distributions, preferred returns, appreciation, and investment objectives are not guaranteed. Distributions may decrease or stop and, depending on the offering, may include a return of capital rather than earnings. A distribution rate is not necessarily a measure of investment performance. Diversification and allocating among sponsors or property types do not ensure a profit or protect against loss.

Offering-specific costs may include organization, acquisition, selling, financing, management, and disposition expenses. Upfront costs reduce the amount put to work, and ongoing costs reduce returns; fees may be payable even when an investment loses value. Aurora and its registered representatives may receive transaction-based commissions or other compensation described in the offering documents and Form CRS. Compensation can vary among products and creates incentives and conflicts of interest. Review all disclosed costs, compensation arrangements, and sponsor or affiliate transactions before deciding to invest.

Tax deferral is not guaranteed. Section 1031 applies only to qualifying transactions and requires compliance with property-use, identification, timing, and other rules. Cash received, debt relief, or nonqualifying property may create taxable gain. An adverse ruling, transaction error, or change in tax law or interpretation may reduce or eliminate expected benefits. Transaction costs may outweigh tax benefits. The exchange illustrations on this site do not establish your required reinvestment or tax result. Work with your qualified intermediary, CPA, and attorney to confirm the requirements and calculations for your circumstances. Baker 1031 does not provide tax or legal advice.

A potential future Section 721 contribution or UPREIT transaction is not guaranteed. Its availability, timing, terms, and tax consequences depend on the offering and your circumstances. REIT shares and operating partnership units generally do not qualify as replacement property in a subsequent 1031 exchange. REITs and Opportunity Zone funds discussed for other investment needs should not be assumed to qualify for a direct 1031 exchange. These structures have separate eligibility, holding-period, liquidity, and tax considerations that require review with your advisers.

Mineral and royalty interests carry commodity-price, reserve-estimation, production-decline, operator, regulatory, and environmental risks. Income depends on production and operations the investor generally does not control, and distributions can fluctuate or cease. Not every oil and gas investment qualifies for a 1031 exchange; the nature of the interest and transaction must be reviewed with your tax and legal advisers.

Animated allocations, pie charts, investment amounts, equity, debt, and loan-to-value figures are hypothetical illustrations, not actual offerings, recommendations, or forecasts. Simplified calculations may omit fees, closing adjustments, and individual tax considerations. Property photos and portal previews illustrate investment concepts or historical properties and do not establish current availability or ownership in a particular offering. Examples do not represent the past or future performance of a specific investment.

Jerry Baker’s real estate transaction experience includes participation in various roles at prior firms; the stated transaction volume is not assets managed by Baker 1031. Investor reach includes education and other interactions and does not represent a count of investment clients. Investment and sponsor counts do not indicate how many offerings are currently available. Sponsor assets under management, where shown, belong to those firms, not Baker 1031. Experience, size, and recognition do not assure investment results. “Institutional-quality” is a descriptive term, not a rating or guarantee of safety.

Third-party links are provided for reference; their content and policies are controlled by their respective providers and may change. Sponsor names and logos belong to their respective owners. Their inclusion should not be read as an endorsement of Baker 1031 or any investment. For questions about this information or to request offering materials, contact hello@baker1031.com.
