Overview

The investment objectives for the Interests will be to (i) preserve the Purchasers’ capital investment, (ii) provide quarterly distributions of available cash, and (iii) allow for the potential appreciation in value of the Properties. The Sponsor believes that the Properties combined with the Master Lease meet this investment criteria and offer an attractive opportunity to invest in a portfolio of high quality, well-located industrial and mixed-use office and retail assets in attractive U.S. markets.

The Elizabeth on Seventh Property: a mixed-use office and retail building located at 1942 East Seventh Street, Charlotte, North Carolina 28204 (the “Elizabeth on Seventh Property”). According to the Elizabeth on Seventh Property PCA (as defined herein), the Elizabeth on Seventh Property was built in 2022 and consists of one four story mixed-use office and retail building comprising approximately 100,537 net rentable square feet. The Elizabeth on Seventh Property is situated on approximately 1.679 acres, as referenced in the Elizabeth on Seventh Property Survey (as defined herein). According to the Elizabeth on Seventh Property PCA, the Elizabeth on Seventh Property includes retail spaces and restaurants on the ground floor, office spaces on the upper floors, and provides two main vehicular entrances to the parking deck, one along East Seventh Street and one along North Caswell Road. According to the Elizabeth on Seventh Property Survey, the Elizabeth on Seventh Property has approximately 359 total parking spaces, which include eight Americans With Disabilities Act (“ADA”) designated parking spaces, of which two, according to the Elizabeth on Seventh Property PCA, are van designated. As of March 31, 2026, the Elizabeth on Seventh Property was 95.3% leased by 19 tenants.

The Gateway One Property: an industrial facility located at 425 Distribution Drive, West Columbia, South Carolina 29170 (the “Gateway One Property”). According to the Gateway One Property PCA (as defined herein), the Gateway One Property was built in 2023 and consists of one single-story industrial building comprising approximately 252,720 net rentable square feet. The Gateway One Property is situated on approximately 14.325 acres, as referenced in the Gateway One Property Survey (as defined herein). According to the Gateway One Property PCA, the Gateway One Property contains two 12-foot wide by 13-foot high ramped drive-in doors, 27 9-foot wide by 10-foot high dock-high doors with bumpers and manual levelers, and 35 future knock-out panels set in the exterior tilt wall. According to the Gateway One Property Survey, the Gateway One Property has approximately 338 total parking spaces, which include eight ADA-designated parking spaces and 131 striped trailer parking spaces. As of March 31, 2026, the Gateway One Property was 100% occupied by four tenants.
