Overview

The investment objectives for the Interests will be to (i) preserve the Purchasers’ capital investment, (ii) provide quarterly distributions of available cash, and (iii) allow for the potential appreciation in value of the Offered Property. The Sponsor believes that the Offered Property combined with the Master Lease meet this investment criteria and offer an attractive opportunity to invest in a portfolio of high quality, well-located retail assets in attractive U.S. markets.

The Offered Property. The property included in this Offering consists of a portion of a single shopping center, commonly known as Knightdale Marketplace, located in Knightdale, North Carolina, that is owned indirectly by the Parent Trust through the Operating Trusts (the “Offered Property”). Knightdale Marketplace also includes certain parcels that are owned by third parties or affiliates of the Sponsor and are not owned by the Parent Trust. The Offered Property and certain other parcels within Knightdale Marketplace are subject to the reciprocal easements, covenants, restrictions and other agreements described below under “The Offered Property—Agreements and Other Matters Affecting the Offered Property.”

The Offered Property is comprised of two separately owned properties: the Knightdale West Property and the Knightdale East Property. Although Knightdale Marketplace (the entire shopping center) is generally identified by the shopping-center address of 1006 Shoppes at Midway Drive, Knightdale, North Carolina 27545, the individual buildings, tenant spaces and parcels comprising the Knightdale West Property and the Knightdale East Property may be associated with separate street addresses within the overall shopping center. Accordingly, the Knightdale West Property is generally associated with the street address 304 Hinton Oaks Boulevard, Knightdale, North Carolina 27545, and the Knightdale East Property is generally associated with the street address 1002 Shoppes at Midway Drive, Knightdale, North Carolina 27545. According to the PCA (as defined herein), the Knightdale West Property consists of 138,756 rentable square feet and was originally constructed in 2008. According to the PCA, the Knightdale East Property consists of 180,857 rentable square feet and was originally constructed in 2006. The Offered Property consists of a total of 319,613 rentable square feet. According to the Property Survey (as defined herein), parking for the Offered Property consists of an asphalt surface lot with uncovered parking for 1,523 vehicles. All parking areas are shared by all tenants of the entire Knightdale Marketplace, including 41 Americans With Disabilities Act (“ADA”) designated parking spaces. The parking areas located within the Knightdale Marketplace are owned by the Operating Trusts. In addition, the Knightdale East Property benefits from insured cross-parking rights pursuant to the OEA (as defined herein), and the Knightdale West Property benefits from insured parking rights pursuant to the REA (as defined herein). Certain relationships among the Offered Property and other parcels comprising the Knightdale Marketplace are governed by the agreements, including the OEA and the REA, described below under “The Offered Property—Agreements and Other Matters Affecting the Offered Property.”

Projected distributions are the sponsor's estimates of annual cash flow on invested equity. They are not guaranteed, may change or stop, and may include a return of capital. LTV is the offering's debt divided by its total capitalization. Information reflects my offering records as of October 28, 2026 and may have changed. This page is not an offer to sell or a solicitation of an offer to buy any security; offers are made only through the offering documents to eligible investors.
